This Non-Compete Agreement (hereinafter referred to as "Agreement") is entered into and effective as of ______ [Date], by and between ______ [Employee Name], herein referred to as "Employee," and ______ [Employer Name], located at ______ [Employer Address], herein referred to as "Employer." The parties agree to abide by the terms as set forth in this Agreement.

WHEREAS, Employee agrees to not engage in certain activities competitive with the Employer within the State of Wyoming, as described in this Agreement, subsequent to the termination of employment, for the time period and within the geographic area specified herein, in order to protect the legitimate business interests of the Employer.

THEREFORE, in consideration of employment or continued employment by Employer, and the mutual benefits and obligations set forth in this Agreement, the parties agree to the following:

  1. Non-Compete Covenant: Employee agrees not to engage in any business activity that is directly competitive with the Employer's business within the geographic area of ______ [Specify Geographic Area] for a period of ______ [Specify Time Period] after the termination of the Employee’s employment with the Employer.
  2. Non-Solicitation: Employee agrees not to solicit or induce any employee or contractor of the Employer to terminate or breach an employment, contractual or other relationship with the Employer during the period of this Agreement.
  3. Confidentiality: Employee acknowledges that during the course of employment, they will have access to and knowledge of proprietary and confidential information. Employee agrees not to disclose any confidential information belonging to the Employer without prior written consent, during or after the term of their employment.
  4. Return of Property: Upon termination of employment, Employee agrees to return all Employer property, documents, and any other items that contain or pertain to proprietary or confidential information, without retaining any copies or notes.
  5. Remedies for Breach: Employee acknowledges that any breach of this Agreement may cause substantial harm to the Employer for which damages may not be an adequate remedy. Therefore, in addition to any other remedies available, Employer may seek injunction relief against such a breach or threat thereof without the necessity of posting a bond.
  6. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming.
