Wyoming Hold Harmless Agreement

This Hold Harmless Agreement (hereinafter referred to as "Agreement") is made and entered into on this ______ day of ______________, 20____, by and between __________________________ (hereinafter referred to as "Releasor") and __________________________ (hereinafter referred to as "Releasee"), collectively referred to as the "Parties".

WHEREAS, the Releasor desires to indemnify and hold the Releasee harmless from any claims, liabilities, losses, damages, or expenses, arising out of or in connection with ____________________________________________________________________________________________________________________________________.

NOW, THEREFORE, in consideration of the mutual promises contained herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:

  1. Indemnification: The Releasor agrees to indemnify and hold harmless the Releasee, its affiliates, officers, agents, employees, and successors from and against any claims, liabilities, damages, losses, costs, and expenses, including attorney’s fees, arising directly or indirectly from or in connection with the activities described above.
  2. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.
  3. Dispute Resolution: Any disputes arising out of or related to this Agreement shall be resolved through mediation, and if necessary, legally through the courts of Wyoming. Both parties agree to participate in good faith.
  4. Severability: If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remainder of this Agreement shall continue in full force and effect.
